Most fun I have practicing law :  Helping someone buy their business or be granted a franchise.  There is nothing like seeing the elation on their faces when the deal is done and they are ready to go to work. How my practice is different :  I give practical legal advice and deliver it as efficiently as practicable.

  My view is the successful practice is one referred by past clients, and that happens when clients are satisifed with results and were not overcharged for legal services. Biggest mistakes I see business owners make : 1) Breaching a contract becuase they feel the other party already breached .  Often what is not a breach is perceived as a breach, and the party that has been wronged ends up in a worse position than if they had followed the provisions of the contract.

2) Using a cookie-cutter shareholder / operating agreement / bylaws / partnership agreement, over one tailored for their situation .  Too many problems arise, especially in 50/50 ownership situations, that the agreements aren't drafted to address, and this could be avoided so easily and cost-effectively with a custom-drafted agreement prepared by a lawyer who asks the right questions and asks the business owner to consider various potential opportunities for dispute.

3) Using a lawyer to represent them in the sale or purchase of a business, who has little or no experience .  Usually these agreements do not have the proper protections for either parties if third-party claims were to arise, as well as do not properly address all parts of the sale or properly insure to assign/assume liabilities or benefits.

  These deals often end up dying before closing, or resulting in a contemptuous transition between owners.
