Richard Lewis primarily concentrates his practice in the areas of Tax, Corporate Law, and Estate Planning and Administration. However, he also handles corporate and real estate transactions. Tax: Mr Lewis has significant experience in tax litigation and controversy, state and local taxation and tax planning for individuals, small businesses, tax-exempt organizations and international companies.
He has guided numerous individuals through the audit and examination process with multiple taxing authorities, including negotiating offers in compromise, installment agreements and voluntary disclosure agreements. As Assistant Attorney General for the District of Columbia, Mr Lewis represented the District in hundreds of litigation cases involving the assessment and collection of ad valorem and sales taxes.
Mr Lewis was also an integral drafter of tax legislation for the District of Columbia designed to promote growth in blighted areas. Corporate Law: In the area of corporate law, Mr Lewis handles a wide range of matters including corporate establishment, governance, transactions, disputes, securities issuances and transfers, mergers and acquisitions, divestures and dissolutions.
Over the course of his career, Mr Lewis has handled over two hundred corporate transactions totaling hundreds of millions of dollars in aggregate value. On behalf of his clients, Mr Lewis drafts complex corporate documents including, but not limited to, private placement memoranda, investor agreements, subscription agreements, operating agreements, shareholder agreements and other corporate governance and business function documents.
Additionally, Mr Lewis has substantial experience representing start-up companies with entity selection and creation, capitalization and eventual merger, buyout or expansion. Most recently, Mr Lewis has become a reliable counselor in the area of Florida’s Medical Marijuana Law. In this capacity, Mr Lewis represented two of the twenty-four (24) inaugural applicants who applied to the Office of Compassionate Use for the Florida Department of Health to be approved for a license as a dispensing organization pursuant to the Compassionate Medical Cannabis Act of 2014 (§, Florida Statutes).
Estate Planning and Administration: Lastly, Mr Lewis represents all types of clients in the preparation of wills, trusts, health care advance directives, health care surrogate designation forms, powers of attorney and other estate planning documents. Mr Lewis is also highly experienced in drafting complex asset protection, special needs and tax planning trusts.
He also handles summary and formal estate administrations in jurisdictions around the state of Florida.
